After-Hour Rally For Jianzhi Education (JZ) As Shareholders Prepare For Key Vote

The share price of Jianzhi Education Technology Group Company Limited (NASDAQ: JZ) saw a significant increase during Monday’s after-hours trading. After closing at $2.86 after a little rise of 6.00% during the regular session, the stock surged 93.69% after hours to $5.54. The market’s reaction follows the company’s statement that it will host an extraordinary general meeting (EGM) of shareholders at its Beijing headquarters today.

Extraordinary Meeting Draws Attention

Ordinary shareholders of record as on June 13, 2025 (Eastern Time) will be able to participate directly or through designated proxies in the EGM, which will be held at Jianzhi’s executive office in Beijing.

Voting on the underlying ordinary shares is also available to investors who hold the company’s American Depositary Shares (ADSs) on the same day, but only through The Bank of New York Mellon, the depositary organization in charge of Jianzhi’s ADS program. Since the EGM might soon determine the company’s strategic orientation, its calling has generated a lot of attention.

ADS Ratio Adjustment Mirrors Reverse Split

In a parallel development, Jianzhi Education has executed a significant change to its ADS structure. JZ adjusted the ratio from one ADS representing six ordinary shares to one ADS now representing sixty ordinary shares.

This shift, which took effect at the start of Monday’s trading session, effectively acts as a one-for-ten reverse ADS split. Consequently, ADS holders are required to exchange every ten existing ADSs for one new ADS.

Trading Continues Under Existing Ticker with New CUSIP

For current ADS holders, the conversion procedure was made easier by the Bank of New York Mellon. The total number of Jianzhi’s outstanding ADSs has dropped from around 7.7 million to roughly 771,666 as a result of the modification.

JZ’s ADSs will still trade on the Nasdaq with the symbol “JZ” in spite of this change. Alongside the modification, a new CUSIP number 47737L302 has been issued, which reflects the revised share structure.
